AGM 2026

Innellan Golf Club  – AGM 2026

Proposal to Become a Scottish Charitable Incorporated Organisation (SCIO)

📅 Background

At this year’s Annual General Meeting (AGM), the Committee will ask members to approve a proposal to change the Club’s legal structure from an Unincorporated Body to a Scottish Charitable Incorporated Organisation (SCIO).

This follows a review of our governance arrangements and discussions with professional advisers and OSCR, the body that regulates charities in Scotland.

💡 Why the Committee is Proposing This Change

Over the years, the way the Club operates has evolved. The SCIO model has become the preferred structure for many golf and community clubs across Scotland.

Moving to a SCIO offers several advantages:

  1. Simpler administration – We would deal only with OSCR.
  2. Limited liability protection – Members and trustees remain protected from personal liability, just as they are now.
  3. Modern charitable status – The SCIO structure was created specifically for charities and clubs like ours, combining charitable benefits with a single, Scottish-only regulatory framework.
  4. Future-proof governance – It makes it easier to adapt our constitution and continue developing facilities and community programmes.

⚖️ What Will Stay the Same

  • The Club’s name, membership, and day-to-day activities will remain unchanged.
  • The Club will still be a charity with the same charitable purposes.
  • Members will continue to elect the Committee and have the same voting rights.
  • All assets, staff, and contracts will transfer to the new SCIO.

In other words — the change is about how the Club is structured legally, not about changing what the Club does.
